Plain-English summary: These terms govern how we work together. We scope engagements properly, hold ourselves to guaranteed outcomes, and invoice transparently. You pay for results — if AI is not live in your workflows as agreed, you get a refund or don't pay at all. Pakistani law governs any disputes.

1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you and Densight Labs Pvt. Ltd. ("Densight Labs", "we", "us", or "our"), a company registered under the laws of Pakistan and operating from Johar Town, Lahore, Punjab, Pakistan.
By using our website at densightlabs.com, engaging us for services, or signing a Statement of Work (SoW), you agree to be bound by these Terms. If you are accepting these Terms on behalf of an organisation, you represent that you have the authority to do so.
These Terms apply alongside any signed Statement of Work or engagement letter. In the event of a conflict, the signed SoW takes precedence for that specific engagement.
2. Services and Scope
Densight Labs provides enterprise AI implementation services in three primary service lines:
- AI Stack Setup — Design and deployment of a full enterprise AI infrastructure including tool selection, configuration, custom automation workflows, team training, and 30-day post-deployment support
- Corporate AI Training — Structured 2-day department-level AI training workshops tailored to specific workflows and roles, with 4-week follow-up and a Week 4 adoption audit
- Claude Code Pods — Embedded AI-fluent developer(s) working within the client's engineering team on a weekly cycle, delivering production-ready code
The precise scope, deliverables, timelines, team access requirements, and pricing for each engagement are defined in a Statement of Work (SoW), which is agreed and signed before work begins.
Any request outside the agreed SoW scope constitutes a change request and will be quoted separately. We will not begin out-of-scope work without written agreement.
3. Service Guarantees
Densight Labs' production guarantees are a core commitment, not marketing language. The following conditions apply:

Guarantee exclusions: Guarantees are void if the client fails to provide required access (systems, data, stakeholders, feedback) within agreed timelines; if the client requests changes to scope that materially affect delivery; or if technical blockers outside Densight Labs' control (e.g., client IT policies, third-party API outages) prevent deployment.
All guarantee claims must be raised within 14 days of the relevant measurement date. Densight Labs will verify the measurement data before processing any refund. Refunds, where applicable, are issued within 14 business days of agreement.
4. Payment Terms
4.1 Invoicing
Invoices are issued as specified in the signed SoW. Standard terms:
- AI Stack Setup — 50% upon SoW signature; 50% upon stack deployment sign-off
- Corporate AI Training — 100% due 5 business days before training date, unless otherwise agreed
- Claude Code Pods — Weekly invoices issued each Friday by 5PM PKT, payable within 7 business days (Net 7)
4.2 Late payment
Invoices unpaid after the due date are subject to a late payment charge of 2% per month on the outstanding balance, calculated from the due date. Densight Labs reserves the right to pause delivery on active engagements if invoices remain unpaid for more than 14 days after the due date.
4.3 Currency and taxes
Invoices are issued in Pakistani Rupees (PKR) for domestic clients and USD for international clients, unless otherwise specified in the SoW. Prices are exclusive of applicable taxes. Clients are responsible for any withholding tax obligations under applicable law.
4.4 Disputes
If you believe an invoice is incorrect, you must notify Densight Labs in writing within 5 business days of receipt. Undisputed portions of an invoice remain payable on their due date.
5. Intellectual Property
5.1 Client materials
All data, documents, brand materials, and systems provided by the client remain the client's property. Densight Labs will not use client materials for any purpose other than delivering the agreed engagement.
5.2 Densight Labs materials
The ADAPT Framework, training materials, prompt libraries, methodology documentation, templates, and all pre-existing intellectual property created by Densight Labs remain the exclusive property of Densight Labs. Use of these materials outside the engagement requires prior written consent.
5.3 Engagement deliverables
Custom automation workflows, system configurations, and code written specifically for the client as part of a signed SoW become the client's property upon full payment of all outstanding invoices. Until full payment is received, deliverables remain the property of Densight Labs.
5.4 Case study and portfolio rights
Densight Labs may reference the engagement as a case study and include anonymised or approved metrics in marketing materials, unless the client explicitly requests confidentiality in writing before the engagement begins. Named case studies require separate written consent from the client.
6. Confidentiality
Both parties agree to keep confidential any non-public information received from the other party in connection with the engagement ("Confidential Information"). This includes business strategies, financial data, client lists, technical architecture, and staff information.
Confidential Information may only be disclosed to employees or contractors who need it to deliver or receive the services, and who are bound by equivalent confidentiality obligations. Neither party will use the other's Confidential Information for any purpose outside the engagement.
These obligations survive termination of the engagement for a period of 3 years. They do not apply to information that is publicly available, independently developed, or required to be disclosed by law.
7. Client Obligations
The success of an AI implementation depends on both parties. To ensure delivery against the agreed scope and guarantees, the client agrees to:
- Appoint a named internal project champion with decision-making authority for the engagement
- Provide timely access to required systems, data, tools, and staff (within 2 business days of a written request, unless otherwise agreed)
- Attend the agreed kickoff session, check-ins, and sign-off meetings
- Provide feedback on deliverables within 3 business days of submission
- Ensure staff attend training sessions as scheduled (with at least 48 hours' notice required to reschedule)
- Not request changes to SoW scope without raising a formal change request
Failure to meet these obligations may void the applicable service guarantee and/or result in project delays that are not attributable to Densight Labs.
8. Limitation of Liability
Densight Labs' total liability to you in connection with any engagement, whether in contract, tort, or otherwise, will not exceed the total fees paid by you for the specific engagement giving rise to the claim in the 3 months preceding the claim.
Densight Labs is not liable for: indirect or consequential losses; loss of profits or revenue; business interruption; loss of data; or any outcomes arising from the use of third-party AI tools (including Claude, ChatGPT, Gemini, or any automation platform) beyond the configuration and training delivered as part of the engagement.
Densight Labs does not warrant that AI tools will be error-free or that outputs generated by AI tools will be accurate. We train your team to use AI tools effectively; we do not guarantee the outputs of those tools after the engagement ends.
Important: Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot lawfully be excluded under Pakistani law.
9. Termination
9.1 By Densight Labs
Densight Labs may terminate an engagement immediately by written notice if: the client fails to pay an invoice within 21 days of the due date; the client materially breaches these Terms or the SoW; or the client engages in conduct that makes continued delivery impractical or unlawful.
9.2 By the client
The client may terminate an engagement with 14 days' written notice. Fees for work completed up to the termination date are non-refundable. Fees paid in advance for undelivered work will be refunded on a pro-rata basis, less any guarantee provisions already triggered.
9.3 Effect of termination
On termination, the client's right to use materials not yet fully paid for ceases. Densight Labs will return any client materials within 10 business days. Confidentiality obligations, IP provisions, and payment obligations for work completed survive termination.
10. Website Use
Use of densightlabs.com is subject to the following conditions:
- You may not use the website in any way that violates applicable laws or regulations
- You may not attempt to gain unauthorised access to any part of the website, its servers, or any systems connected to it
- You may not scrape, copy, or republish website content without prior written consent from Densight Labs
- The content on this website is for informational purposes only and does not constitute professional advice
Densight Labs reserves the right to suspend or withdraw website access without notice. We do not guarantee that the website will always be available or error-free.
11. Governing Law and Disputes
These Terms are governed by and construed in accordance with the laws of the Islamic Republic of Pakistan. Any disputes arising out of or in connection with these Terms or any engagement shall first be referred to good-faith negotiation between the parties.
If a dispute cannot be resolved by negotiation within 30 days, the parties agree to submit to the exclusive jurisdiction of the courts of Lahore, Punjab, Pakistan.
For international clients (outside Pakistan), disputes that cannot be resolved by negotiation within 30 days shall be resolved by arbitration in Lahore under the Pakistan International Arbitration Centre (PIAC) rules, conducted in the English language.
